Terms of Service

These Terms of Service ("Terms") apply to all services, packages and add-ons provided by VASP Digital Inc operating as VASP Digital ("VASP Digital", "we", "us") to you ("you", "the client"). By placing an order on vaspdigital.ca, signing a proposal, or paying an invoice, you agree to these Terms.

1. Services

  1. 1.1We provide the services described in the package, proposal or order you purchase (the "Services"), such as SEO, Local SEO, GEO and AI visibility, link building, digital PR, paid advertising management, web and app design, email, video, branding and social media marketing.
  2. 1.2Package descriptions on our website summarise what is included. Anything not listed is out of scope and can be quoted separately.
  3. 1.3We will start work after payment is received and we have the access and information we need from you (see section 5).

2. Prices, taxes and payment

  1. 2.1All prices are in Canadian dollars (CAD) and exclude applicable taxes. GST/HST/PST is calculated at checkout based on your billing address.
  2. 2.2Payments are processed securely by Stripe. We do not store your card details.
  3. 2.3Monthly services are billed in advance each month from the date of your first payment, automatically, using your saved payment method.
  4. 2.4Setup fees are charged once with your first payment.
  5. 2.5One-time projects (for example websites, branding, app discovery) are payable in full at checkout unless we agree a payment schedule in writing.
  6. 2.6Per-campaign add-ons (Links & Citations, Digital PR) are payable in full when ordered.
  7. 2.7Advertising spend (Google, Meta and other platforms) is not included in our fees. You pay ad platforms directly using your own payment method.
  8. 2.8If a payment fails, we may pause the Services until the account is up to date.

3. Minimum term and cancellation (monthly services)

  1. 3.1Monthly services have a minimum term of three (3) months from the first payment.
  2. 3.2After the minimum term, monthly services continue month-to-month until either party cancels with 30 days' written notice (email to hi@vaspdigital.ca is fine).
  3. 3.3If you cancel during the minimum term, the remaining months of the minimum term are still payable.
  4. 3.4We may end the Services with 30 days' notice, or immediately if you breach these Terms or your account is unpaid for more than 14 days.

4. Refunds

  1. 4.1Because our Services involve time and work that cannot be returned, fees for work already delivered or in progress, setup fees, and per-campaign add-ons that have started are non-refundable.
  2. 4.2If we cannot start your Services for a reason on our side, we will refund any fees paid for work not started.
  3. 4.3Cancelling before work starts. You may cancel an order at checkout or after paying, as long as we have not started work on it. For a one-time project we keep a $50 CAD cancellation service fee and refund the rest of what you paid. For a monthly service we refund the fees paid for work not started (section 4.2).
  4. 4.4Refund timing. Once we approve a refund, it is paid to your original payment method within 8 to 10 working days. After we release the payment, delays caused by your bank or other financial institution are outside our control and VASP Digital is not responsible for them.
  5. 4.5This does not affect any rights you have under applicable consumer protection law.

5. Your responsibilities

  1. 5.1Give us timely access to the accounts and information we need (for example your website, Google Business Profile, Google Analytics, Search Console and ad accounts) and approve content or work within a reasonable time. Delays on your side may delay results and do not pause billing.
  2. 5.2You confirm that the information, content, logos and images you provide are yours or that you have the right to use them, and that your products, services and claims comply with applicable laws and advertising rules for your profession (for example rules set by a regulatory college, the Law Society of Ontario, RECO, or AGCO).
  3. 5.3You remain responsible for your website hosting, domain, and third-party subscriptions unless included in your package.

6. Results

  1. 6.1Search engines, AI tools and ad platforms control their own algorithms and policies. We do not guarantee specific rankings, placements, media coverage, traffic, leads or sales. We do guarantee to deliver the work described in your package professionally and to report on it transparently.
  2. 6.2Timelines on our website (for example "4–6 months" for SEO results) are estimates, not promises.

7. Ownership

  1. 7.1Once paid in full, you own the final deliverables we create specifically for you (for example website designs, content we write for your site, logos and brand files).
  2. 7.2We keep ownership of our own tools, templates, methods and know-how. You get a licence to use anything of ours that is built into your deliverables.
  3. 7.3Accounts created for you (for example Google Ads, Google Business Profile, analytics) belong to you; we will give you admin access.
  4. 7.4We may show non-confidential work we did for you in our portfolio unless you ask us not to.

8. Confidentiality and privacy

Each party will keep the other's confidential information private and use it only to deliver or receive the Services. Our handling of personal information is described in our Privacy Policy.

9. Liability

  1. 9.1To the extent permitted by law, our total liability for any claim relating to the Services is limited to the fees you paid us in the three (3) months before the claim.
  2. 9.2We are not liable for indirect or consequential losses (such as lost profits or lost data), or for issues caused by third-party platforms (Google, Meta, hosting providers, etc.) or by changes they make.

10. Changes

We may update these Terms from time to time. Changes apply to new orders, and to existing monthly services from your next billing month after we notify you by email.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
